FOR CANADIAN MSB OWNERS

Thinking of Closing Your Canadian MSB?
It May Be Worth Selling Instead.

Plans changed, banking has become difficult, or the business never launched? Before deciding your next step, explore whether the company you built could fit a buyer. Apex works with owners and authorized representatives of Canadian MSBs to discuss a potential sale privately.

An initial conversation carries no obligation to sell. Any valuation is an indicative commercial assessment, subject to records, due diligence and buyer interest. Continue to meet applicable regulatory obligations while exploring your options.

A CONSIDERED NEXT STEP

Start with the business.
Then explore the fit.

01

Share the essentials

Tell us about your company, registration status and plans. High-level information is enough for the first enquiry.

02

Discuss buyer fit

We review your summary and discuss whether your MSB may fit the requirements of buyers we work with.

03

Agree the next steps

Before a buyer introduction or document exchange, we agree the appropriate sharing arrangements, scope and any fees with you.

All fields are required unless marked optional. Please keep your answers high-level.

01 · Company & registration

FINTRAC registration is registration—not a licence or endorsement. RPAA refers to the Retail Payment Activities Act. An existing bank account does not guarantee continued banking after a change of ownership.

02 · Operations & compliance

Ranges and “Not sure” are fine for this first enquiry. Banking and PSP arrangements may require fresh approval after a change of control.

03 · Sale plans
04 · Your details

BEFORE YOU ENQUIRE

Clear expectations.

What does a confidential valuation involve?
We start with your registration status, operating history, banking and payment relationships, compliance position and sale plans. The initial assessment is indicative, not a formal valuation or an offer. We agree any further scope and fees before work begins, and discuss your permission before sharing information with a buyer.
Should I delay closure or regulatory notifications?
No. Exploring a sale does not suspend your regulatory obligations or deadlines. Take advice on the required closure, registration and change-of-control steps. A payment service provider subject to RPAA acquisition-of-control requirements must be re-registered before that acquisition is completed. Read the Bank of Canada guidance.
Does Apex guarantee a buyer, price or sale date?
No. We work with buyers seeking Canadian MSB opportunities, but cannot guarantee a buyer, a sale, a specific valuation or a completion timeline. Any transaction depends on buyer fit, due diligence and agreed terms.
Can I enquire about a non-operating MSB?
Yes. Tell us whether the business is operating, dormant or has not yet commenced operations, and provide its current registration status. We can discuss whether a potential introduction may be appropriate.
Is FINTRAC registration a licence?
No. FINTRAC registration is not a licence or endorsement of a business. It does not establish that a buyer can immediately operate the company. Read FINTRAC’s explanation.
What happens after an initial discussion?
If there may be a fit, we discuss the next steps and define Apex’s role, any fees and information-sharing arrangements. Legal, accounting, regulatory and compliance work requires a separately agreed scope and responsible provider. See our process.
